By accessing or using EnDAO ("Platform", "Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Service.
EnDAO is a decentralized autonomous organization (DAO) platform that enables users to:
EnDAO provides software-as-a-service for DAO governance and operations. The platform is provided "as-is" without warranties of merchantability or fitness for a particular purpose. EnDAO is not liable for vulnerabilities, bugs, or losses arising from smart contract execution.
EnDAO does not act as an agent for users or DAOs created on the platform. To the fullest extent permitted by law, EnDAO owes no fiduciary duties or liabilities to users, and users hereby waive such duties to the maximum extent permitted by law.
DAOs created on EnDAO platform are separate and independent entities from EnDAO, Inc. EnDAO is not responsible for the actions, omissions, obligations, or liabilities of any DAO created using the platform.
EnDAO does not custody, control, transmit, or have access to DAO treasuries or member assets. All treasury operations are executed through smart contracts controlled by DAO members via multi-signature mechanisms.
Users are solely responsible for ensuring their DAO complies with applicable laws, including but not limited to:

You must be at least 18 years old to use our Service. By using EnDAO, you represent and warrant that you meet this age requirement.
To access certain features, you must create an account using your Web3 wallet through our authentication provider (Privy). You are responsible for maintaining the security of your wallet and private keys.

Your use of our Service is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Site and informs users of our data collection practices.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

EnDAO operates as a global platform. Users may create DAOs from any location subject to these restrictions:
EnDAO makes no representation that platform services are appropriate or available in all jurisdictions. Users access the platform at their own initiative and are responsible for compliance with local laws.
If your jurisdiction prohibits DAOs, smart contracts, or blockchain governance, you may not use this platform. EnDAO may restrict access from certain jurisdictions at any time without notice.
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
EnDAO offers subscription tiers including Starter (free), Community, Organization, and Enterprise plans. Each plan includes specific features and usage limits as described on our pricing page. Feature availability may change with reasonable notice.
You may upgrade your plan at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the end of your current billing period.
New subscribers to paid plans may receive a 14-day free trial with full access to the selected plan's features.
Free trials are limited to one per DAO. We reserve the right to determine trial eligibility.
At the end of your trial:
All payments are processed securely through Stripe. We accept major credit cards, debit cards, and other payment methods displayed at checkout.
Subscriptions automatically renew unless cancelled. By subscribing, you authorize recurring charges to your payment method. We will send renewal reminders before charging.
Subscription fees exclude applicable taxes (sales tax, VAT, GST). Taxes are calculated based on your billing address and added at checkout.
If payment fails, we will notify you and retry using Stripe Smart Retries. You have a 14-day grace period to update your payment method before your subscription may be suspended.
Cancel your subscription anytime through the Stripe Customer Portal (accessible from DAO billing settings) or by contacting billing@endao.ai.
Upon cancellation:
Subscriptions are generally non-refundable. However, refunds may be provided for:
Refunds are not provided for partial months, unused features, or Terms violations.
Contact billing@endao.ai with your DAO name, reason, and billing period. We respond within 5 business days. Approved refunds are processed within 5-10 business days.
All plans are subject to fair use. Excessive usage impacting platform performance may result in throttling or upgrade requests. Abuse, including circumventing tier limits or reselling access, may result in account suspension.
These Terms constitute the entire agreement between you and EnDAO regarding the use of the Service, superseding any prior agreements.
